Our flagship board program gives directors a new perspective on their
role—along with frameworks to help them position companies for long-term
success. Recognizing the demand for increased board leadership, this program
prompts you to examine growing challenges, prioritize board responsibilities,
and learn from the practices of successful boards. You will gain insight into

Audit Committees
in a New Era of Governance
http://www.exed.hbs.edu/programs/ac/Pages/default.aspx
Today's global credit crisis, combined with the changing regulatory climate,
poses daunting new challenges for your audit committee. Not only are committee
members responsible for providing accurate and transparent information to
investors and other interested parties, but they also must ensure compliance
with new accounting and financial regulatory rules and standards.
This intensive program prepares audit committee members and chief financial
officers to operate effectively in a strained credit environment amid complex
new accounting regulations. You will leave better equipped to identify and
address the unique challenges—and the rare opportunities—arising from the
current regulatory climate.
While created for audit committee members on boards of large established
companies, this leadership development program also benefits chief financial officers who work closely
with the board's audit committees. To foster teamwork and maximize the learning
impact, HBS encourages attendance by several representatives from a given
organization.
July 28-30, 2013 Cambridge MA $5,600
Compensation
Committees
http://www.exed.hbs.edu/programs/cc/Pages/default.aspx
Executive compensation has become a flashpoint
issue for board members, institutional investors, regulators, and the media.
Compensation committees are challenged to design compensation programs that not
only tie business or corporate strategies to company performance, but also
motivate top executives and valued employees. At the same time, committees must
address investor expectations for what is appropriate against a backdrop of
heightened regulatory activity and public awareness.
You and your peers from a variety of industries will move beyond examining
what creates problems in compensation arrangements to structuring more
effective plans that drive long-term corporate performance, company
profitability, employee satisfaction, and exceptional success. The program
helps you rethink your approach to measuring and rewarding outstanding
performance.
This leadership development program is intended primarily for directors on boards of large
established companies who serve as chairs or members of compensation committees
and for senior corporate executives. Bank directors, chief executives,
directors of human resources, investors, legal professionals who help structure
employment contracts, and senior regulatory officials charged with implementing
legislation also are encouraged to apply.
July 31 – August 2, 2013 Cambridge, MA $5,600
Chairmen’s
Academy (Baruch College)
http://corporatedirectorship.com/chairmens-academy/
The
Chairmen’s Academy is the only program in the country—if not the world—that
focuses exclusively on the issues confronting today’s Chairmen of the Board and
Independent Lead Directors. Meeting each summer in Orlando, Florida,
the Chairmen’s Academy convenes for two days to discuss topics that demand the
most of the Chairman’s or Lead Director’s skills. Such discussion topics
include The Chairman’s Role, Leading Regular and Special Board Meetings, The
Board’s Role in Strategy Development & Execution, The Challenges of Leading
Divided Boards, Activist Shareholders and Shareholder Communications, and other
current and topical issues facing chairmen and their boards.
With
attendance strictly limited to no more than 16 chairmen and lead directors, the
discussions are facilitated and led rather than presented. Each discussion is
led by an experienced facilitator—either by a fellow corporate director or a
subject-matter specialist—who provides an overview of the topics as well as
some headline thoughts and suggestions. However, most of the discussion
revolves around the questions and comments that you and your fellow chairmen
share with one another about your own experiences and challenges. Dates for the
2013 Chairmen’s Academy will be announced soon.
